Event Attendance Terms of Service
VERSION 3: June 1, 2021
You may only register for and attend the Event in accordance with these Terms. To register for the Event, you must complete the applicable Event registration process and pay any registration fee(s). Event registration is subject to availability, and we may change the Event program at any time, as determined solely by us.
For Chatham House Rules events, please refer to our Mutual NDA to assure confidentiality.
Your registration for this event is an acknowledgment and acceptance of the Event Terms and Conditions.
1.0 Participation
In order to participate in the Event, you must:
- Have the requisite power and authority to enter into these Terms,
- Have read and understood these Terms,
- Comply with our Event Code of Conduct at all times, and
- Be at least 18 years old, or otherwise over the legal drinking age in your jurisdiction of the Event, if alcohol is being served at the Event. Special requests may be made in the case of students or minors. Such requests must be made in writing to support@allyenergy.com
2.0: Safety and Security
You understand that you and your property may be subject to a reasonable search upon entry to the Event. If you refuse to participate in our security measures, you may be denied entry to the Event. Event representatives reserve the right to ask you to leave the Event if:
- Your behavior causes concern for the safety or security of us, Event attendees, partners, sponsors, speakers, moderators, vendors, organizers, or volunteers,
- You engage in behavior that violates these Terms or the Event Code of Conduct, or
- You exhibit harassing or other prohibited behavior and do not comply immediately.
If we or an event representative denies you entry or requires you to leave the Event, you will not receive a refund if you paid any fees.
3.0 Your Information
We handle any information or materials provided or presented by you to us (i.e., your contact information) in accordance with our Privacy Notice available on our website. We may provide your contact information to Event sponsors where you have opted in to receive communications from the Event.

5.0 Photographs and Recordings
By participating in the Event, you agree that Ally and our partners may document, film, photograph, and capture your voice and image in any media at an Event (“Photos and Recordings”). We retain and use all of the resulting information for the minimum necessary period to fulfill our legal and contractual obligations, legitimate business purposes, and as recommended by industry standards.
You authorize us, our agents, employees, and partners to use, reproduce, modify, distribute, and translate, for any purpose relating to Ally’s business, all or any part of the Photos and Recordings. You represent that you have the necessary rights and permissions to grant the authorization and that your Photos and Recordings do not violate any intellectual property rights of any person or entity.
You also agree that if you take any Photos and Recordings at the Event and provide them to us, you authorize us to use them in the same fashion, and represent that any participants and attendees in your Photos and Recordings have also consented to such use.
6.0 Feedback
You acknowledge that you may provide ideas, suggestions, recommendations, or improvements (“Feedback”) to Ally before, during, or after your participation at the Event. You authorize us, our agents, employees, and partners to use any Feedback that you provide without restriction and without obligation to you.
7.0 Your Cancellation
If registration fees or other fees are required for the Event, cancellation instructions and the Event’s refund policy, if applicable, will be listed on the Event registration page or website.
8.0 ALLY Energy Cancellation
We may cancel the Event at any time for any reason, and we may deny, limit, or cancel your Event registration at any time. ALLY is not responsible for any damages, direct or indirect, resulting from such cancellation. If we cancel the Event, we will issue you a refund in accordance with the refund policy, if applicable. If the Event is canceled, the sections entitled “Your Information,” Risk, Liability, and Indemnification,” “Governing Law and Dispute Resolution,” and “Miscellaneous” will continue to apply.
9.0 Risk, Liability & Indemnification
We aim to create a safe and secure environment at all our Events and ask that you help encourage the safety, trust, and security of everyone at the Event.
10.0 Assumption of Risk
You acknowledge that attending and participating in the Event is completely voluntary and that you understand the nature of the Event. You agree that you have carefully considered the risks inherent in any activities that you choose to take part in and that you have taken reasonable precautions before attending or participating in a Ally Event. To the maximum extent permitted by law, you agree that you knowingly and voluntarily assume the risks associated with attending and participating in the Event.
11.0 Release of Liability
To the maximum extent permitted by law, you (and anyone else who might make a claim on your behalf or as a result of your death or injury) hereby release, waive, and discharge Ally, our affiliates, partners, respective directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns, from any and all claims, demands, causes of action, damages, losses, or expenses (“Claims”) that you may have now or in the future associated in any way with the Event, Photos and Recordings, and/or Feedback.
12.0 Limitation of Liability
OUR MAXIMUM AGGREGATE LIABILITY IN CONNECTION WITH THESE TERMS, THE EVENT, PHOTOS AND RECORDINGS AND/OR FEEDBACK WILL NOEXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) AND THE EVENT REGISTRATION FEES PAID BY YOU TO ALLY, IF ANY. IN NO EVENT WILL WE BE LIABLE FOR ANY CONSEQUENTIAL, PUNITIVE OR INCIDENTAL DAMAGES OF ANY KIND, REGARDLESS OF THE NATURE OF THE CLAIM (INCLUDING NEGLIGENCE). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
13. Indemnity
You agree to indemnify and hold Ally, our affiliates, partners, respective directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns harmless, including costs, liabilities and legal fees, from any Claims made by any third party due to, related to, or connected with your attendance or conduct at the Event or any related event.
14. Applicable Law; Venue
This Agreement shall be constructed under the laws of the State of Texas, without regard to its conflict of laws principles. Any Dispute will be resolved by binding arbitration by one (1) arbitrator, except that you may, to the maximum extent permitted by law, assert claims in small claims court. To initiate an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to Suport@allyenergy.com. The parties agree that the Dispute will be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules and that judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. The arbitration will be held in the English language in San Francisco, California, or any other location both parties agree to in writing. The parties will share the costs of the arbitration equally provided that the prevailing party will be entitled to costs and attorneys’ fees. Except as may be required by law or as necessary to enforce the respective award in a court of law, neither party, nor the arbitrator, may disclose the existence, content, or results of any arbitration without the prior written consent of both parties.
15. Miscellaneous
We may update these Terms at any time by posting a revised version on our website and updating the “Last Updated” date accordingly. The modified Terms become effective upon posting. By attending the Event, you agree to be bound by the most recent Terms. It is your responsibility to check our website regularly for modifications to these Terms.
16. Compliance
You represent and warrant that you and the financial institution(s) you used to pay any fees required for the Event are not subject to sanctions or otherwise designated on any list of prohibited or restricted parties, or owned by such a party by an applicable government authority.
17. Severability & Waiver
If any provision in these Terms is invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the extent necessary, and the rest of the Terms remain in full force and effect. Any failure on Ally’s part to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
18. Force Majeure
We are not liable for failure or delay in performance of our obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, terrorism, riots, or war.
19. Entire Agreement
These Terms state the entire agreement between you and us, and supersede any prior or contemporaneous agreements relating to the subject matter of these Terms. These Terms include links to other agreements or notices, which are hereby incorporated by reference.
